Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Mediaberry's services. By creating an account or using the service, you agree to these Terms.

This is a first-draft Terms. Have your counsel review before public launch — particularly the limitation of liability, governing law, and dispute resolution sections, which depend on your jurisdiction and risk profile.

1. The service

Mediaberry delivers AI-curated retail-investor sentiment briefs and related analysis tools to investor relations professionals. Specific features available depend on your subscription tier.

2. Accounts and authorized users

You must be 18+, authorized to bind your employer (if signing on behalf of a company), and provide accurate information. You are responsible for safeguarding your login. If your subscription includes team seats, the account owner is responsible for their teammates' use.

3. Subscription, billing, and refunds

Subscriptions auto-renew on the cycle you selected (monthly or annual) until canceled. You can cancel at any time from /billing; cancellations take effect at the end of the current cycle, and you keep access until then.

We do not pro-rate refunds for partial months. If you believe you were billed in error, contact billing@mediaberry.com and we'll work with you in good faith.

4. Acceptable use

You agree not to:

  • Use Mediaberry to harass, defame, or unlawfully target individuals or companies.
  • Reverse-engineer or attempt to circumvent our API rate limits or tier gates.
  • Resell or sublicense the service except as expressly permitted (white-labeling is permitted only on plans where it is included, under the attribution rules described in your subscription terms).
  • Use the service to violate securities laws, including selective disclosure rules. See our Reg FD memo for our position on disclosure.

5. Customer data and AI output

You retain ownership of any data you submit to Mediaberry, including ticker configuration, free-form context provided to AI features, and white-label branding assets. You grant us a worldwide, non-exclusive license to host, process, and analyze that data solely to deliver the service and to operate aggregated analytics that do not identify you or your tickers.

AI-generated output (briefs, talking points, vulnerability assessments, etc.) is provided as analysis, not advice. You are responsible for reviewing AI-generated content before relying on it or distributing it. Do not treat any AI output as a regulated recommendation, audit opinion, or legal advice.

6. Public-content sources

Mediaberry ingests publicly available retail-investor conversation (e.g., X / Twitter, Reddit, Stocktwits, Seeking Alpha) under each source's public terms. We surface excerpts with attribution and source links. We do not redistribute full posts; we link back to the source so you and your team can read in context.

7. Disclaimer of warranties

The service is provided “as is” and “as available”. To the maximum extent permitted by law, Mediaberry disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Mediaberry is an analysis tool, not investment advice. Output is generated by AI and may contain errors, omissions, or mischaracterizations. Always verify before acting.

8. Limitation of liability

To the maximum extent permitted by law, Mediaberry's total aggregate liability for any claim arising out of or related to these Terms or the service shall not exceed the greater of (a) the amount you paid to Mediaberry in the 12 months preceding the claim, or (b) USD $100. Mediaberry shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

9. Termination

You may terminate your account at any time from /settings/danger. We may suspend or terminate your account for material breach of these Terms or non-payment, with notice where reasonable. On termination, your access ends immediately; data retention follows the schedule in our Privacy Policy.

10. Governing law and dispute resolution

These Terms are governed by the laws of [JURISDICTION TBD — your counsel will fill this in based on your incorporation state / country]. Any dispute will be resolved in [VENUE TBD], except where applicable consumer protection law requires otherwise.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
